1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of services provided by Orchid Residences ("we," "our," or "us"), a property rental guidance service operating in Chiang Mai, Thailand. By engaging our services or using our website, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services or website. Your continued use of our services constitutes acceptance of these Terms and any future modifications.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services.

2. Definitions

For the purposes of these Terms:

• "Service" or "Services": Property rental guidance services including consultations, property viewings, lease assistance, and cultural orientation as described on our website.
• "Client": The individual or entity engaging our services.
• "Property Owner": The landlord or authorized representative of a rental property.
• "Agreement": The contract formed between Orchid Residences and Client upon service engagement.
• "Website": Our online presence at orchiidresside.info and related digital platforms.

3. Service Description

3.1 Scope of Services

Orchid Residences provides property rental guidance services in Chiang Mai, Thailand. Our services include:

• Property search consultation and recommendations
• Coordination of property viewings
• Cultural context and neighborhood information
• Thai-English interpretation services
• Lease review and explanation (not legal advice)
• Documentation support
• Settlement assistance (for applicable service tiers)

3.2 Service Limitations

Our services are limited to guidance and facilitation. We do not:

• Act as legal representatives or provide legal advice
• Guarantee property availability or rental approval
• Own or manage rental properties
• Make binding commitments on behalf of Property Owners
• Provide financial or investment advice
• Guarantee specific outcomes or timelines

4. Client Responsibilities

4.1 Information Accuracy

Clients agree to provide accurate, complete, and current information during consultations and throughout the service engagement. You must promptly notify us of any changes to your contact information or requirements.

4.2 Cooperation

Clients agree to respond to communications in a timely manner, attend scheduled viewings punctually, and engage in good faith throughout the property search process.

4.3 Independent Verification

While we provide guidance and explanations, Clients are responsible for conducting their own due diligence regarding properties, neighborhoods, and rental agreements. We recommend consulting legal professionals for lease review when appropriate.

4.4 Respectful Conduct

Clients agree to treat our team members and Property Owners with respect and courtesy. Abusive, threatening, or inappropriate behavior may result in service termination.

5. Fees and Payment

5.1 Service Fees

Service fees are as specified on our website and in individual service agreements. Current rates are:

• Heritage Property Discovery: ฿10,800
• Guided Rental Journey: ฿34,000
• Northern Living Immersion: ฿62,000

5.2 Payment Terms

Payment is typically required before service commencement or according to the payment schedule specified in your service agreement. We accept bank transfers and cash payments. All fees are in Thai Baht unless otherwise specified.

5.3 Additional Costs

Service fees do not include rental deposits, rent payments, utility costs, or other property-related expenses, which are separate obligations between you and Property Owners.

5.4 Refund Policy

Refunds are considered on a case-by-case basis for services not yet rendered. Once consultations have begun or viewings have been scheduled, fees are generally non-refundable. Specific refund terms will be outlined in individual service agreements.

6. Property Owner Relationships

Orchid Residences acts as an intermediary to facilitate connections between Clients and Property Owners. We do not represent Property Owners in contractual negotiations and do not guarantee their actions or representations.

Rental agreements are formed directly between Clients and Property Owners. We provide guidance and explanation but are not parties to these agreements.

Clients acknowledge that Property Owners maintain discretion in tenant selection and that our services do not guarantee rental approval or property availability.

7. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Orchid Residences or its content suppliers and is protected by Thai and international copyright laws.

You may view and download content for personal, non-commercial use only. You may not modify, reproduce, distribute, or create derivative works from our content without written permission.

Property photographs, neighborhood descriptions, and other materials we provide are for your personal reference during the property search and may not be redistributed.

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific outcomes, property availability, or rental approval. Property searches involve variables beyond our control.

8.2 Information Accuracy

While we strive to provide accurate information about properties, neighborhoods, and rental processes, we cannot guarantee the accuracy or completeness of all information. Property conditions, availability, and pricing are subject to change.

8.3 Limitation of Liability

To the fullest extent permitted by Thai law, Orchid Residences shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you for the specific service in question.

8.4 Third-Party Actions

We are not responsible for actions, representations, or conduct of Property Owners, other service providers, or third parties. Disputes with Property Owners should be resolved directly between the involved parties.

9. Indemnification

You agree to indemnify and hold harmless Orchid Residences, its employees, and representatives from claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your rental arrangements with Property Owners
• Inaccurate information you provide
• Your conduct during property viewings or interactions
• Your violation of any Thai laws or regulations

10. Termination

10.1 Client Termination

Clients may terminate services by providing written notice. Fees for services already rendered or scheduled within 48 hours are non-refundable.

10.2 Our Right to Terminate

We reserve the right to terminate services if you violate these Terms, engage in abusive conduct, provide false information, or for any reason at our discretion with appropriate notice.

10.3 Effects of Termination

Upon termination, you must cease using our services and materials. Provisions regarding confidentiality, indemnification, and dispute resolution survive termination.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Chiang Mai Province, Thailand.

11.2 Informal Resolution

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a business transfer or acquisition.

13.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, governmental actions, or other force majeure events.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with an updated "Last Updated" date. Material changes will be communicated to active clients via email.

Your continued use of our services after changes become effective constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
